Padres get a RH'ed very good bat that can get plenty of time at DH and platooning in LF and 1st base. His 4+ million dollar contract is much cheaper than singing any available FA DH types at this point. Rays get salary relief and pick up two young players in OF'er Ornelas( a younger Ramirez possibly) and Lowe a 20 year old who has a live arm and control at a young age.

I'd rather the Rays just do a straight 1 for 1 trade for Harold so they get the best possible prospect in return.

I would agree with you about separating Adam and Ramirez into sperate deals. It devalues both. I do think that Ramirez is worth more than the 1.5 valuation because he is such a good hitter and made to DH for a team not looking for strictly power. Which is why the Rays could (and should) ask for two lower value prospects that go over his stand alone value, IMO. Adam is similar in what he brings to the backend of a pen and should also fetch two players but maybe more apt to bring back just one.
